Terms of Registry
These Terms of Registry ("Terms") govern your engagement of JioCodes ("we", "us", "our") for design, development and related services. By requesting a quote, accepting a proposal, or making a payment, you ("Client", "you") agree to these Terms.

1. Services & scope
We provide website, web-application, mobile-application, POS and custom software development, along with related design, SEO, deployment and maintenance services. The exact deliverables, timeline and price for your project are defined in the written proposal or scope document we send after a scoping discussion ("Proposal"). The Proposal, together with these Terms, forms the agreement between us.
2. Quotes and proposals
Prices shown on our website are indicative starting points, not final quotes. A Proposal is valid for 30 days from its date unless stated otherwise. Work begins only after the Proposal is accepted in writing (email is sufficient) and the agreed advance is received.
3. Payments and invoicing
- An advance is payable before work starts. The remaining amount is billed in milestones or on completion, as set out in the Proposal.
- Invoices are due within 7 days of issue unless agreed otherwise.
- We may pause work on any project with an overdue invoice. Timelines shift accordingly.
- All prices are exclusive of applicable taxes, payment-gateway charges, and third-party costs (domains, hosting, licences, paid APIs).
- Refunds are governed by our Refund Policy.
4. Client responsibilities
To keep the project on schedule you agree to provide, in a timely manner: content, assets, brand materials, access credentials, and any approvals or feedback we request. Delays in providing these, or in responding to review requests, extend delivery dates by at least the length of the delay.
5. Revisions and change requests
Each phase includes a reasonable number of revision rounds as described in the Proposal. Work outside the agreed scope — new pages, features, redesigns, or integrations not listed — is handled as a change request and quoted separately before we proceed.
6. Timelines
We share an estimated schedule in the Proposal and work in good faith to meet it. Estimates are not guarantees; they assume prompt feedback, stable scope, and working third-party services. We are not liable for delays caused by factors outside our reasonable control.
7. Intellectual property and ownership
On receipt of full and final payment, ownership of the final deliverables produced specifically for you (source code, designs, and content we created) transfers to you. Until then, all work product remains our property. We retain ownership of our pre-existing tools, libraries, boilerplate and know-how, and grant you a perpetual, non-exclusive licence to use them as part of your deliverables. We may reference the completed project and non-confidential visuals in our portfolio unless you ask us in writing not to.
8. Third-party services
Projects often rely on third-party platforms (hosting, payment gateways such as PayU, email providers, maps, analytics, libraries). Their availability, terms and pricing are outside our control, and their fees are billed to you or paid by you directly.
9. Confidentiality
Each party will keep the other’s non-public information confidential and use it only to perform this engagement. This does not apply to information that is public, already known, or independently developed without reference to the disclosing party.
10. Warranties and disclaimer
We warrant that services will be performed with reasonable skill and care. For 30 days after delivery of a phase we will fix defects in our work at no charge. Beyond that, and except as expressly stated, services and deliverables are provided "as is" without further warranties of any kind.
11. Limitation of liability
To the maximum extent permitted by law, our total liability arising out of or related to an engagement is limited to the fees actually paid by you for that engagement. We are not liable for indirect, incidental, special or consequential losses, or for loss of profit, data or goodwill.
12. Termination
Either party may terminate an engagement with written notice if the other materially breaches these Terms and does not cure the breach within 14 days. On termination you pay for all work performed and costs incurred up to the termination date. Refund eligibility is governed solely by our Refund Policy.
13. Governing law
These Terms are governed by the laws of India. The courts at Gurugram, Haryana have exclusive jurisdiction over any dispute, subject to good-faith attempts to resolve it directly first.
14. Changes to these Terms
We may update these Terms from time to time. The version in effect when your Proposal is accepted governs that engagement. Continued use of our services after an update means you accept the revised Terms.
